The San Francisco-based law firm of Gaw | Poe LLP today filed a class action lawsuit against CMB Export, LLC, the general partner of CMB Infrastructure Investment Group VII, L.P.—an EB-5 Limited Partnership—on behalf of 57 of its 179 limited partners. The lawsuit alleges that CMB Export breached its fiduciary duties to the limited partners by engaging in self-dealing transactions in connection with the partnership’s $90 million investment in the Ivanpah solar plant project, thereby depriving those limited partners of tens of millions of dollars.

The lawsuit alleges that by December 2016, CMB had internally determined that it was unlikely that any of its limited partner investors would recover the principal that each of them had invested with CMB, which had in turn been lent to the Ivanpah project. The lawsuit further alleges that CMB concealed such information from the limited partner investors and engaged in a series of self-dealing loan transactions to modify its loan agreements for the Ivanpah project so that principal repayments owed to the limited partner investors were deferred in exchange for CMB getting priority treatment on interest payments—which it would then appropriate in their entirety as deferred compensation purportedly owed to it by the limited partner investors.

The lawsuit alleges claims for breach of fiduciary duty and breach of contract against CMB. The case is captioned Hui Cai, et al. v. CMB Export LLC, No. 2:22-cv-02025 and is filed in the United States District Court for the Central District of California.
